This License Agreement is a legal agreement between you (either an individual or a single entity) and iView Multimedia Ltd for the software accompanying this agreement, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software Product" or "Software"). By exercising your rights to make, install, and use copies of the Software Product, you agree to be bound by the terms of this agreement. Unless you have a different license agreement signed by iView Multimedia Ltd, your use of this software implicitly indicates your acceptance of this agreement.
COPYRIGHT OWNERSHIP
All title and copyrights in and to the Software Product, the accompanying documentation, and any copies of the Software Product are owned by iView Multimedia. The Software Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software Product is licensed, not sold, for use only under the terms of this License, and iView Multimedia reserves any rights not expressly granted to you. You own the media on which the Software is recorded or fixed, but iView Multimedia Ltd and its licensors retain ownership of the Software itself.
LICENSED VERSION
iView Multimedia Ltd grants you a non-exclusive, non-transferable licence to use the registered copy of the program and accompanying documentation to the following terms:
1. One licensed copy of the Software may be used by a single person who uses the software personally on one or more computers, provided that the Software may be running on only one computer at a time. You may not use the program on more than one computer or workstation at a time in a network or a multi-user system; unless a multi-user licence is purchased.
2. You may distribute only an Evaluation (locked) version of this program on any CD, Web Site, FTP Site, or other "download area" without the explicit written permission from iView Multimedia.
3. The Licensee or sublicensee may not rent, transfer or grant any rights in the program or accompanying documentation in any form to any person without the prior written consent of iView Multimedia Ltd. You are specifically prohibited from charging, or requesting donations, for any such copies, however made; and from distributing the software and/or documentation with other products (commercial or otherwise) without the explicit written permissiion of iView Multimedia or any of its licensees.
4. The Licensee may not remove any proprietary notice, labels, or marks on the program and the accompanying documentation. This license is not a sale. Title and copyrights of the program accompanying documentation and any copy made by you remain with iView Multimedia Ltd. Unauthorised copying of the program or the accompanying documentation, or failure to comply with the above restrictions, will result in automatic termination of this licence and will make available to iView Multimedia Ltd other legal remedies.
5. The licensee or sublicensee may not modify, adapt, reverse engineer, decompile, disassemble, create derivative works based on, or copy (except for back up copy) the program or the accompanying documentation. The Licensee shall not attempt to derive a Source Code Version of the Licensed Material.
EVALUATION VERSION
This is not free software. Until you pay for the use of the Software, you can only use the Software for evaluation purposes.
Subject to the terms below, you are hereby licensed to use this software,in full, for evaluation purposes without charge for a period of 7 days, after which you will be reminded to register. If you use this software after the evaluation period, a registration fee is required. For details of payment, please refer to the registration page.
When payment is received you will be sent an serial number code via e-mail. This serial number is the same for all the copies of the Software you paid for (in the case of multiple licenses, site licenses or world-wide licenses, a single serial number code is sent for all the licenses).
Provided that you verify that you are distributing the Evaluation Version, you are hereby licensed to make as many copies of the Evaluation version of this software and documentation as you wish; give copies of the original archive to anyone; and distribute the Evaluation version of the software and documentation in its unmodified form via electronic means. There is no charge for any of the above.
TERMINATION
This License is effective until terminated. Without prejudice to any other rights, iView Multimedia Ltd may terminate this Agreement if you fail to comply with any of its terms and conditions. In such event, you must destroy all copies of the Software Product.
NO WARRANTIES.
iView Multimedia Ltd expressly disclaims any warranty for the Software Product. The Software Product and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the Software Product remains with you. . iView Multimedia Ltd does not warrant that the operation of the program will be uninterrupted or error free. No warranty of fitness for a particular purpose is offered.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
In no event will iView Multimedia Ltd, or any of the licensors, be liable to you for any consequential, incidental, indirect or special damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information and the like), whether foreseeable or unforeseeable, arising out of the use of or inability to use the Software or accompanying written materials, regardless of the basis of the claim, and even if iView Multimedia Ltd has been advised of the possibility of such damage.
GENERAL
This Agreement will be governed by the laws of the United Kingdom, except in the United States where it will be governed and interpreted by the laws of California.
This Agreement is the entire agreement between us and supersedes any other communications or advertising with respect to the program and the accompanying documentation.
If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
